Thai Rubber Latex Group Public Company Limited, which is popularly known as “THAITEX”, was incorporated on December 6, 1985 with the purpose of operating as a manufacturer and distributor of concentrated latex and other latex products. On March 8, 1993 the company was listed at the Stock Exchange of Thailand and the company’s shares are being traded under the code name of TRUBB. THAITEX has become a very well-known and well accepted brand in the global latex industry.

COMPANY PROFILE

The company was registered with a paid up capital of Ten Million Thai Baht, under the name of Orient Rubber Latex Company Limited with the objective of manufacturing and selling natural rubber latex products such as concentrated latex, skim block and crepe rubber located in Nongyai district, Chonburi province.

On January 10, 1989, Orient Rubber Latex Company Limited changed its name to Thai Rubber Latex Corporation (1988) Company Limited. or "THAITEX" as a Concentrated Latex Producer Group with the objective of distributing concentrated latex 60% DRC both locally and internationally.

Later, the company changed its name to Thai Rubber Latex Corporation (Thailand) Company Limited and acquired shares of Thai Rubber and Latex Company Limited (Rayong province), Excel Rubber Company Limited (Songkhla province) and Orient Surat Rubber Company Limited (Surat Thani province) to standardize the quality of Concentrated Latex produced by the company and to continuously meet the expanding demand of the latex consuming industrial sector.

The company was listed in the Security Exchange of Thailand under the name of Thai Rubber Latex Corporation (Thailand) Public Company Limited on March 8, 1993, under the policy of steady growth and continuous expansion of investment in businesses that are beneficial to the company's core business and the company’s stakeholders.

The company moved to its own office building located at 99 / 1-3 Moo 13, Soi Bangna-Trad 45, Bangna-Trad Road Km.7, Bangkaeo, Bangphli District, Samutprakarn 10540. In accordance with the company’s policy to expand the volume of quality latex production, another new company was established under the name of Phuket Latex Company Limited in Phang Nga province.

The company continued to invest in both upstream and downstream business by acquiring World Flex Public Company Limited, Rayong, which produces and exports Rubber Thread to overseas markets. And also by investing in Wang Somboon Rubber Plantation Company Limited in Sakaeo province.

To expand the company’s interest in rubber plantations, THAITEX established Thai Rubber City Company Limited in Nan, Chiang Rai and Phayao province. Later Thai Rubber City Company Limited changed its name to Thai Rubber Land and Plantation Company Limited to consolidate and effectively run its rubber plantation operations

All 7 subsidiary latex manufacturing companies were merged under Thai Rubber Latex Group Company Limited on July 1, 2005.

THAITEX invested by acquiring 56% shareholding of Latex Systems Public Company Limited which manufactures and sells natural rubber latex mattresses and pillow both in domestic and export market.

Thai Rubber Latex Group Company Limited acquired the ordinary shares of the company, Thai Rubber Latex Group Company Limited. (Shanghai), China another subsidiary, in order to operate all types of rubber products trading.

All shares and assets of Thai Rubber Latex Group Company Limited were transferred to Thai Rubber Latex Corporation (Thailand) Public Company Limited (Mother Company) on December 29, 2017.

On July 4, 2019, Thai Rubber Latex Corporation (Thailand) Public Company Limited changed its name to Thai Rubber Latex Group Public Company Limited.

Thai Rubber Gloves Company Limited was established on January 8, 2021 to produce and to distribute natural rubber latex gloves in both domestic and overseas market.
At present, THAITEX Group consists of 6 factories producing concentrated latex, including other rubber products obtained from the production of latex.

Scope of Authority and Duties of the Executive Committee
The chairman of the board of directors plays a crucial role in overseeing the company's operations in an efficient, transparent, and equitable manner. The primary responsibilities of the chairman of the board of directors include
1. Overseeing the Work of the Board of Directors :
- Ensure the board of directors functions effectively, transparently, and fairly
- Monitor the board's adherence to laws, regulations, and shareholder resolutions
- Promote regular self-evaluation of the board's performance
2. Leading the Board of Directors :
- Establish the company's direction and strategy
- Oversee the work of the executive board
- Represent the board in communications with stakeholders
3. Determining Board Structure, Size, and Composition :
- Establish an appropriately sized board with a balance between executive and independent directors
- Appoint independent directors with suitable qualifications
- Establish subcommittees as needed
4. Convening Board Meetings :

Roles and Duties of Managing Director
- Policy and Vision Formulation Set policies, visions, objectives, strategies, business plans, and annual budgets of the Company and its subsidiaries to propose to the Executive Committee and/or Board of Directors for further consideration and approval.
- Supervision, Administration, Operation Supervise, manage, operate and perform routine business tasks for the benefit of the Company in accordance with the vision, business direction, policies, business strategies, goals, operational plans, and annual budget plans approved by the Executive Committee and/or the Board of Directors and/or as assigned by the Executive Committee and/or the Board of Directors.
- Coordination with Audit Committee Coordinate with the Audit Committee to ensure that the Company’s business operations including risk management are in accordance with the Company’s objectives and regulations, as well as the resolutions of the Executive Committee and/or the Board of Directors and/or Resolution of the shareholders’ meeting.
- Approval of entering into any contract and/or transaction Approve entering into contracts and/or any transactions related to the normal business operations of the Company (such as trading, investing or co-investing with other parties for the normal business transactions of the Company and for the benefit of the Company’s operations under the objectives of the Company) within the conditions and limit as stipulated in the Delegation of Authority and/or as required by the Executive Board and/or The Board of Directors determines and/or according to the relevant laws and regulations and/or according to the Company’s Articles of Association.
- Approval of Any Loans Approve of any loans and credit requests from financial institutions, lending and pledges, mortgage or becoming a guarantor of the Company and its subsidiaries within the conditions and limit as stipulated in the Delegation of Authority or as specified by the Executive Committee and/or the Board of Directors.
- Tracking and Monitoring Monitor and control the Company, subsidiaries and/or associated companies’ performance to achieve good operating results as targets and report to the Executive Committee and the Board of Directors every quarter, as well as seek opportunities to improve and develop for better results.
- Organization Development Develop the organization to have good performance and results and has been continuously improved and developed for the organization to grow sustainably
- Investment Management in New Projects Conduct a good study of investment opportunities in new projects by conducting appropriate and complete technical and financial studies to guide decision-making.
- Asset Management Operate on connected transactions and acquisition and disposition of total assets, as well as company regulations approved by the Executive Committee meeting and/or the Board of Directors meeting, and/or the shareholders’ meeting in accordance with the rules prescribed by the relevant notifications.
- Consideration of criteria for selecting executives Consider the criteria and procedures for recruiting and selecting persons to hold high-level executive positions together with the Remuneration Committee.
- Appointment of Consultants in Various Fields Appoint consultants in various fields necessary for the Company’s operations within the conditions and limits as stipulated in the Delegation of Authority and/or as required by the Executive Board. And/or the Board of Directors determines.
- Establish organizational structure guidelines Set rules, regulations, guidelines, and requirements for the organizational structure in the position next to the President, including hiring, appointing, transferring, dismissing and laying off employees of the Company in a position lower than the Managing Director.
- Formulation and Compensation Structure Set policy, compensation structure Forms and criteria for remuneration payment of employees jointly with the Executive Committee and proposed to the Remuneration and Remuneration Committee for consideration and approval before submitting to the Board of Directors for further approval.
- Consideration of Compensation Consider the employee’s remuneration in accordance with the remuneration structure policy approved by the Board of Directors and proposes to the Executive Committee for further consideration and approval.
- Issuing Orders, Regulations, Announcements, Records Issue orders, regulations, announcements, and records within the Company to ensure that the Company’s operations are in accordance with the policy and for the benefit of the company, including to maintain discipline within the organization to authorize and/or sub-authorize any one or more persons to perform any act on behalf of the President under the scope of the powers specified in the Company’s power of attorney and/or rules, regulations; or Board of Directors’ Resolutions. The delegation of duties and responsibilities by the Managing Director does not constitute a power of attorney or sub-authorization that allows the Managing Director or a person authorized by the President to approve transactions with him or anyone who may have conflicts of interest. (as defined in the Notification of the Securities and Exchange Commission and/or the Notification of the Capital Market Supervisory Board) may have a stake in or may benefit in any manner or may have any other conflict of interest with the Company or the Company’s subsidiary except for the approval of transactions that are in accordance with the policies and rules approved by the Board of Directors.
